These Terms & Conditions of Sale govern all quotations, orders, sales and deliveries made by Bacodeseta unless otherwise agreed in writing.
By placing an order, the customer accepts these Terms & Conditions of Sale.
All quotations are provided without obligation unless otherwise stated.
Prices, availability and lead times are subject to change prior to order confirmation.
A quotation does not constitute a binding agreement until confirmed by both parties.
An order becomes effective only after written confirmation by Bacodeseta.
Once production has commenced, changes or cancellations may not be possible without mutual agreement.
Customers are responsible for ensuring that all product specifications, quantities, sizes, colours and packaging requirements are accurate before confirming the order.
Unless otherwise agreed:
Payment terms are specified in the quotation, proforma invoice or commercial agreement.
Production and shipment schedules may depend on timely receipt of agreed payments.
Failure to meet payment obligations may result in delays or suspension of production or delivery.
Standard production lead times generally range from 5 to 30 business days, depending on product availability, stock levels, order quantity and seasonal production capacity.
The estimated production and delivery schedule will be confirmed during the quotation and order confirmation process.
Deliveries are made according to the Incoterms agreed between Bacodeseta and the customer.
Unless otherwise agreed, delivery dates are estimates and provided in good faith.
Bacodeseta will make every reasonable effort to meet agreed schedules but shall not be liable for delays caused by circumstances beyond its reasonable control.
Risk of loss or damage passes to the customer in accordance with the agreed Incoterms.
Customers are responsible for arranging appropriate insurance where required.
Customers should inspect all goods immediately upon receipt.
Any shortages, shipping damage or manufacturing defects must be reported in writing within 7 calendar days of delivery, together with supporting documentation and photographs where applicable.
Failure to notify Bacodeseta within this period may result in the claim being declined.
Products may not be returned without prior written authorization from Bacodeseta.
Approved returns must be shipped in their original condition unless otherwise agreed.
Custom-produced, private label or made-to-order products are generally non-returnable unless a verified manufacturing defect exists.
Bacodeseta warrants that products are manufactured in accordance with agreed specifications and internal quality standards.
The warranty applies only to manufacturing defects present at the time of delivery and does not cover improper handling, misuse, incorrect storage, normal wear or unauthorized alterations.

Bacodeseta shall not be liable for delays or failure to perform its obligations resulting from events beyond its reasonable control, including but not limited to:
In such circumstances, delivery schedules may be reasonably extended.
Bacodeseta’s total liability shall be limited to the value of the products supplied under the relevant order.
Under no circumstances shall Bacodeseta be liable for indirect, consequential, incidental or special damages, including loss of profits, business interruption or loss of commercial opportunity.
These Terms & Conditions of Sale shall be governed by and interpreted in accordance with the laws applicable to the contractual agreement between the parties, unless otherwise expressly agreed in writing.
